Terms and Conditions

About these terms

These Terms and Conditions ("Terms") govern the supply of services by Purple Square Content ("we", "us", "our") to you ("Client", "you"). They apply to all proposals, quotations and engagements between us. By instructing us to begin work, signing a proposal or paying an invoice, you accept these Terms.

Services

We provide content strategy, production and creative services for beauty and health ecommerce brands. The specific scope, deliverables and timelines for any engagement will be set out in a written proposal or statement of work agreed with you.

Fees and payment

Our fees are set out in the proposal or statement of work for each engagement. Unless otherwise agreed, we invoice 50% of project fees on commencement and the balance on delivery. Retainer fees are invoiced monthly in advance. Payment is due within 14 days of invoice date. Late payments may incur interest at 4% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.

Quotes and proposals

Quotes and proposals are valid for 30 days unless stated otherwise. Any work outside the agreed scope will be quoted separately and requires written approval before we begin.

Project timelines

Timelines are estimates based on receiving timely input, materials and approvals from you. Delays caused by late client feedback, missing materials or scope changes may shift the project schedule. We will keep you informed of any timeline impact.

Client responsibilities

You agree to provide accurate information, materials and feedback in a timely manner; secure any necessary licences, permissions or releases for content you supply; and review deliverables and provide consolidated feedback within agreed timeframes. You are responsible for ensuring final content complies with advertising standards, labelling requirements and any sector-specific regulations applicable to your products.

Approvals and revisions

Each proposal will set out the number of revision rounds included. Additional revisions beyond the agreed scope will be charged at our standard rates. Once a deliverable is approved in writing or used publicly, no further revisions are included.

Intellectual property

On full payment of all fees, ownership of final approved deliverables transfers to you, except for any third-party assets (stock imagery, music, fonts, plugins) which remain subject to their original licences. We retain ownership of working files, source files and any underlying methodologies, frameworks or templates we use across multiple clients. We reserve the right to use completed work in our portfolio and case studies unless otherwise agreed in writing.

Confidentiality

Both parties will keep confidential any non-public information shared during the engagement and will not disclose it to third parties without consent, except as required by law.

Cancellation

You may cancel a project at any time by written notice. You will be liable for fees for work completed up to the cancellation date plus any unrecoverable third-party costs we have incurred on your behalf. Deposits are non-refundable once work has commenced.

Liability

Our total liability for any claim arising from the services is limited to the fees paid by you under the relevant engagement in the 12 months preceding the claim. We are not liable for indirect or consequential losses including lost profits, lost revenue or lost data. Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud or any other liability that cannot lawfully be excluded.

Force majeure

Neither party is liable for delays or failure to perform caused by events beyond their reasonable control, including illness, technical failure, supplier delays or government action.

Data protection

Each party will comply with applicable data protection laws including the UK GDPR and Data Protection Act 2018. Our handling of personal data is set out in our Privacy Policy.

Governing law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales, although we may agree to mediation or arbitration first.

Changes to these terms

We may update these Terms from time to time. The version in force at the start of an engagement will apply for the duration of that engagement.
